Reynolds Frizzell Team Prevails On Appeal
Reynolds Frizzell partners Jean Frizzell, Jeremy Doyle, and Elizabeth Wilkerson secured a victory under the Texas “anti-SLAPP” statute for their clients: the highly regarded Daly & Black PC law firm and Andrew Dao, an attorney with the firm. The firm and Mr. Dao were sued for defamation in connection with statements made regarding a case they were handling. The trial court granted a motion under the Texas Citizens Participation Act, dismissing the suit and awarding fees to our clients. On appeal, the Texas Fourteenth District Court of Appeals affirmed the trial court’s dismissal of the suit and the award of legal fees, concluding that the plaintiffs had not established a prima facie case for the essential elements of their claims. Ms. Wilkerson was primarily responsible for the successful effort at the trial level. Melissa Wray Bostwick, then of Daly & Black and now of Wray Willis LLP, contributed significantly to the appellate effort.

We extend a big welcome to Jason Daniels who is joining Reynolds Frizzell as a summer associate. Jason is a rising third-year law student at Harvard Law School. He graduated from The University of Alabama and is a proud Eagle Scout. Jason decided to go to law school after taking legal history and jurisprudence courses where he fell in love with the analogical reasoning used in both classes. While at the firm this summer, Jason wants to hone his legal research and writing skills so that he can return to and serve his hometown of Houston after law school graduation. Mason Malone Mason lives by the philosophy that, for every action in a case, great lawyers ask, “Does this make it more likely that we resolve the client’s problem?” Assisting in litigation strategy and managing various matters in the energy, construction, and healthcare industries, Mason enjoys the challenge of anticipating problems before they arise while working on a diverse set of legal issues. Erin Formby A background in chemistry allows Erin to confidently address complex and technology centric matters. With a passion for the law and desire to learn, Erin found her calling in trial work. Federal Jury Returns Verdict of Zero Damages For Reynolds Frizzell Client
A federal court jury returned a verdict of zero damages in favor of Reynolds Frizzell’s client Zinc Resources, LLC and Russ Robinson facing claims for $120 million in lost profit damages for alleged violations of noncompete, nonsolicitation, and confidentiality covenants. Reynolds Frizzell LLP team Jean Frizzell, Zach Burford, Thallia Malespin, and paralegal Misty Davis secured the defense verdict after an almost 2-week trial in the U.S. District Court for the Southern District of Texas before the Honorable Judge Alfred H. Bennett. An international conglomerate, and its affiliates, in the steel dust recycling industry, Zinc Internacional, Steel Dust Recycling, LLC, and DRA, Inc., claimed $120 million in lost profit damages from violations of noncompete, nonsolicitation, and confidentiality covenants arising out of Mr. Robinson's sale of an Alabama steel dust recycling business in 2009 and South Korean joint venture in 2014. The plaintiffs brought both federal and state trade secrets claims and several tort claims. The Reynolds Frizzell Team’s successful defense included defeating an emergency appeal and motion to the Fifth Circuit Court of Appeals to stay the trial, which the plaintiffs filed on the morning of jury selection. Although the plaintiffs brought 19 separate claims and named additional defendants, including two Zinc Resources' employees and three other companies with which Mr. Robinson was involved, the team secured a submission of only three jury liability questions regarding Mr. Robinson and Zinc Resources. The jury found the plaintiffs were entitled to zero damages as a result of a breach of a noncompete covenant and no breach of the non-solicitation or nondisclosure covenants by Mr. Robinson. Thallia and Zach were instrumental in the victory putting on important witnesses, arguing the jury charge and handling and prevailing in the emergency appeal to the 5th Circuit that Plaintiffs filed on the first day of trial to delay the trial. Reynolds Frizzell Team Prevails At Trial; Jury Awards Client Over $6 Million In Verdict
Reynolds Frizzell LLP attorneys Jean Frizzell and Harris Wells and paralegal and tech specialist Misty Davis prevailed earlier this year at trial on behalf of Michael Pohl and the Law Offices of Michael A. Pohl PLLC. Pohl retained Reynolds Frizzell to prosecute a theft of trade secrets action concerning the misappropriation of Pohl’s confidential client list and client contracts. Pohl filed suit alleging that another law firm and lawyer improperly purchased Pohl’s confidential client list, 11,000 client files and contracts from independent contractors working for Pohl in order to solicit Pohl’s clients to bring failed barratry claims against Pohl. This case was heavily litigated. However, on every major issue, Pohl prevailed, including on an interlocutory appeal early in the case. The case was tried in August 2023, and the jury awarded Pohl over $6mm in their verdict. Included in that amount is $3mm in punitive damages the jury unanimously awarded after finding that there was clear and convincing evidence that the misappropriation of Pohl’s trade secrets constituted a willful and malicious misappropriation. Reynolds Frizzell partner Michael K. Oldham has served as a Nominating Chair for the Texas Bar Foundation since 2022. Supporting the “Start The Change” School Supply Drive

Meet Summer Associate Haaris Siddiqi
We’re excited to introduce summer associate Haaris Siddiqi, who will soon enter his second year of law school at Stanford Law School. At Stanford, Haaris is the Member Editor of Stanford Law Review, the Recruitment Chair of the Asian Pacific Islander Law Student Association, the Finance Chair of the Muslim Law Students Association, and a member of the Stanford International Refugee Project. He attended undergrad at The University of Texas where he was a distinguished college scholar and on the dean’s list. At UT, Haaris was President & Mock Trial Captain for Phi Delta Phi where he won the mock trial competition and served as Finance Chair for the Longhorn Alliance for Refugees and Asylees. Meet Summer Associate Seth Roye
Meet another of our summer associates for 2023, Seth Roye. Prior to entering The University of Texas School of Law, Seth graduated summa cum laude with a Chemical Engineering degree from Mississippi State University and worked for five years as an engineer for ExxonMobil. Seth serves as Moot Court Director for the Board of Advocates and as an editor for the Texas Intellectual Property Law Journal. Reynolds Frizzell LLP Team Prevails On A Rule 91a Motion To Dismiss
Reynolds Frizzell LLP attorneys Chris Reynolds, Brandon Allen, and Harris Wells prevailed on a Rule 91a motion to dismiss filed on behalf of Chord Energy Corporation and Oasis Petroleum North America. The Chord Parties retained Reynolds Frizzell to defend against a $30 million lawsuit filed by Absolute + Oil Gas, LLC, that alleged the Chord Parties and other defendants had committed fraud, breach of fiduciary duties, breach of contract, and several other torts. The Chord Parties vigorously dispute the factual bases of Absolute’s claims. Recognizing the claims were also legally deficient in multiple ways, the Chord Parties moved for early dismissal of the fraud, fiduciary duty, gross negligence, and conspiracy claims. Reynolds Frizzell successfully argued that certain tort claims Absolute asserted had no basis in law, partly because the economic loss doctrine barred them. During the hearing on the Chord Parties’ motion, the Court ruled from the bench to fully grant the Chord Parties’ motion. In doing so, the Court dismissed Absolute’s fraud, breach of fiduciary duty, participation in breach of fiduciary duty, gross negligence, and conspiracy claims against the Chord Parties because those claims had no basis in law. Congratulations to our clients and the Reynolds Frizzell team behind this significant win.

Get to know Reynolds Frizzell LLP trial attorney Insiya Aziz. Insiya was a standout summer associate in 2021 and we were thrilled when she accepted her offer to officially join the firm last October. Reynolds Frizzell Successfully Defends Baker Donelson In Malpractice Suit
Congratulations to Reynolds Frizzell partners Chris Reynolds and Brandon Allen and associate Adi Sirkes on their recent victory on behalf of a national law firm, Baker Donelson, in a legal malpractice suit brought by a litigation funding venture created to fund cases arising out of the Deepwater Horizon incident. When the plaintiff lost some of its claims against its co-venturer in an underlying arbitration, the plaintiff then sued Baker Donelson, claiming that it negligently caused plaintiff’s alleged arbitration losses. The plaintiff sought $48 million in damages. After securing a pre-trial summary judgment in its favor on various claims, Baker Donelson proceeded to and fully prevailed in a seven-day bench trial in federal court on plaintiff’s remaining claims. Mike & Jim Win Jury Verdict For Phoenix Services In Oklahoma
Congratulations to Mike Oldham and Jim Weiss on their recent jury win in Oklahoma state court. The duo, along with co-counsel Travis Jett of Hodgden Law Firm, successfully represented Phoenix Services in a lawsuit against NextSource Water Solutions over the cost to construct a $10 million fracking wastewater gathering system in Arnett, Oklahoma. Phoenix, the owner, hired NextSource to design and manage construction of the pipeline system. After the project was substantially completed, NextSource issued additional invoices for approximately $540,000. Phoenix disputed the invoices, and NextSource filed property liens and a lawsuit in Denver, Colorado. On Phoenix’s motion, the Denver state court dismissed NextSource’s suit for lack of jurisdiction. Phoenix filed suit in Oklahoma state court asking the Court to set aside the property liens, invalidate the disputed invoices, and declare that Phoenix had paid NextSource in full for the project. Both parties sought to recover attorney fees and costs. The case was tried to a jury from October 31 to November 4, 2022, and the jury returned a verdict in Phoenix’s favor on all counts.

Reynolds Frizzell Receives Texas Access To Justice Commission Award
Reynolds Frizzell is honored to be recognized with the Champion of Justice Law Firm Award by the Texas Access to Justice Commission once again this year. Each year, the Commission recognizes attorneys and law firms who champion and support the important work of legal aid and pro bono providers throughout the state of Texas. The Commission determines winning firms by tabulating contributions made by the firms’ attorneys in support of the statewide Justice for All campaign. Reynolds Frizzell Defends Kinder Morgan In $100 Million Breach Of Contract Claim
Reynolds Frizzell attorneys Jean Frizzell and Zach Burford prevailed on summary judgment for Kinder Morgan Texas Pipeline LLC and Kinder Morgan Tejas Pipeline LLC. Kinder Morgan retained Reynolds Frizzell to defend against a $100 million breach of contract claim brought by Freeport LNG, asserting that Freeport had the right to “sell back” volumes of natural gas to Kinder Morgan during Winter Storm Uri. Early in the lawsuit, Kinder Morgan filed a motion for summary judgment based on its declaration of Force Majeure during the storm. Kinder Morgan argued that the circumstances surrounding the Winter Storm—including the freezing weather, loss of upstream gas supply, and governmental orders prioritizing delivery of gas to human-needs customers—constituted Force Majeure and excused any obligations to deliver or buyback gas under the parties’ contract. After a hearing on Kinder Morgan’s motion, the Court granted summary judgment in favor of Kinder Morgan and dismissed Freeport’s case on October 24, 2022.

Reynolds Frizzell Secures Near Total Win For Commercial Real Estate Client
Congratulations to Reynolds Frizzell trial attorney Harris Wells and paralegal Marisol Ellis who successfully represented affiliates of the Moody National Companies in a near-total win in a high-stakes arbitration proceeding with our friends and former colleagues at Hogan Thompson. Claimants sought more than $37 million against fifteen defendants and also sought exemplary damages, fraud findings, and a declaration of alter ego. The arbitrator denied all fraud and alter ego claims and awarded Claimants less than 1% of requested damages. A great win for our Houston commercial real estate client.

Reynolds Frizzell Successfully Obtains Federal Court Dismissal of RICO Suit Filed By Florida Real Estate Investor
Reynolds Frizzell attorneys Michael Oldham and Harris Wells, along with co-counsel Hogan Lovells, successfully defended two Texas-based real estate developers, John J. Griggs III and Cross K. Moceri of Presidium Group, in a case brought by XL Funding alleging claims under the Racketeering Influence and Corruption (RICO) Act. The case has been dismissed by a federal court for The Southern District of Florida. Griggs and Moceri, who have extensive experience developing student housing and related real estate projects in Austin, Texas, entered into a venture with XL Funding and its principal Michael Fischer to engage in further property development. When the parties disagreed as to the capital contributions needed to move forward with the project, XL Funding brought an aggressive suit with unfounded allegations. In dismissing the complaint, the federal district court denied Count II of the Amended Complaint with prejudice and without leave to amend, and gave the Plaintiff until May 7, 2021 to file a second amended complaint on the remaining counts admonishing the Plaintiff to “eliminate extraneous allegations, including acrimonious invective.” On May 7, 2021, rather than filing the second amended complaint allowed by the court’s order, the Plaintiff filed a Notice of Voluntary Dismissal, dismissing all its claims in the action. Immediately after the notice was filed, the court terminated and closed the case. According to Oldham, “as we have stated from the outset of this case, we viewed it as meritless and are grateful the court has dismissed it.”

Texas Appellate Court Rules In Favor Of Reynolds Frizzell Client Enerfin Resources
Reynolds Frizzell attorneys Jeremy Doyle and Matt Sheehan secured an appellate win for firm client Enerfin Resources Limited. Following the denial of a special appearance in a lawsuit alleging a breach of contract claim in a gas-gathering dispute against Calyx Energy III, LLC, Calyx filed an interlocutory appeal challenging the trial court’s decision. The Fourteenth Court of Appeals affirmed the denial of Calyx’s special appearance, ruling in favor of Enerfin Resources. In an interview with Law360 (subscription required), partner Jeremy Doyle stated that the court got it right in this "pretty straightforward jurisdiction case," adding “we're looking forward, after a procedural delay, to move forward on the merits."
Court Denies Temporary Injunction, Motion to Reconsider, and Motion to Stay in Favor of Reynolds Frizzell Energy Client
Chris Reynolds and Matt Sheehan represented energy trader Patrick de Man in a temporary injunction proceeding filed by Raiden Commodities, L.P., and Aspire Commodities, L.P., to stop the enforcement of a Puerto Rican judgment in Texas after the Reynolds Frizzell team successfully domesticated the judgment. The court denied the application for temporary injunction on jurisdictional grounds, a motion to reconsider that denial, and a motion to stay enforcement of the judgment, allowing Mr. de Man to pursue collection of a nearly seven-figure judgment in Texas.
Reynolds Frizzell Defends AZA Law Firm Against Non-Meritorious Claims Of Legal Malpractice
Reynolds Frizzell LLP was honored to be retained by AZA, a premiere commercial litigation trial boutique, to defend the firm against non-meritorious claims of legal malpractice. The Plaintiff Bragg originally retained AZA to prosecute substantial claims arising out of his termination as CEO of a major drilling company, and AZA was able to achieve a resolution of those claims via settlement during the arbitration of the underlying matter. Bragg nevertheless then claimed dissatisfaction with the settlement months after it was consummated. During the entirety of the case, AZA refused to entertain any suggestion of settlement, and several of AZA’s name partners testified personally at trial and worked closely with our trial team. Jean Frizzell and Solace Southwick successfully tried the case via Zoom in September of 2020, and on October 12, the Court issued a final judgment completely resolving all claims in AZA’s favor.
Reynolds Frizzell Attorneys Win Complete Appellate Trial Victory for OMNOVA Solutions, Inc.
Attorneys Jean Frizzell and Jennifer Josephson won a complete appellate victory for OMNOVA Solutions Inc. (now a part of Synthomer, a global specialty chemicals company). On October 27, 2020, the Fourteenth Court of Appeals issued an opinion affirming the trial court’s $5.6 million judgment in OMNOVA’s favor, upholding a trial victory secured by the same team following a week-long bench trial in 2018. The upheld judgment included favorable alternative awards for statutory fraud, common law fraud and breach of contract, and a judgment against the defendant’s $3.5 million counterclaim.

Court of Appeals affirms denial of Special Appearance allowing dispute to move forward Following the denial of a special appearance in a dispute centered on a letter-of-credit financing arrangement, Chris Reynolds and Jeremy Doyle handled an appeal on behalf of Plaintiffs New Executive Group Limited, TransAmerica Investment Group, Inc. and John Berry. The Fourteenth Court of Appeals affirmed the denial of Booth Creek’s special appearance. Reynolds Frizzell will try the case with Plaintiffs’ existing counsel moving forward. New Executive Group Limited, et al) Motions to Dismiss affirmed on appeal in favor of defendant and his law firm Jean Frizzell, Solace Southwick, and Harris Wells represented Michael Pohl and his law firm in a suit against several defendants for breach of contract, conversion, theft of trade secrets and civil conspiracy. After the Defendants’ motions to dismiss were denied, the Reynolds Frizzell team handled the appeal defending that result. The First Court of Appeals affirmed the denial of the motions to dismiss and remanded the case to state court for further proceedings. (Lance Christopher Kassab, et al v. Michael A. Pohl, et al) Trial court and appellate win for major personal injury law firm Jeremy Doyle and Jennifer Josephson represented a major personal injury law firm and obtained a summary judgment dismissing all claims asserted against the law firm. Plaintiffs appealed arguing that the trial court erred by granting summary judgment and abused its discretion by excluding evidence and denying a motion for continuance to conduct discovery. Reynolds Frizzell Prevails on Eight Summary Judgment Motions for Real Estate Clients
Jennifer Josephson, Harris Wells, and Jean Frizzell, along with former colleague Chris Hogan, prevailed on eight summary judgment motions for several of Reynolds Frizzell’s prominent real estate clients in a lawsuit pending in the Southern District of Texas’ Houston Division. Investors of multiple hotels in Texas claimed millions of dollars in damages from numerous affiliates of the Moody National Companies. Following discovery and depositions, the parties collectively filed eight summary judgement motions on a range of claims, including breach of contract, breach of fiduciary duty, and fraudulent inducement. The judge issued two orders on the motions, granted all three motions for summary judgment filed by the affiliates of Moody National Companies, and denied all five motions for summary judgment filed by the investors. Thank You For 10 Years | A Letter From Co-Founding Partner Chris Reynolds
October 9, 2019 Dear Friends, Clients and Colleagues, As Reynolds Frizzell prepares to celebrate its tenth anniversary, we felt it appropriate to reflect on the events of our first decade, and to express gratitude for the success we have enjoyed and for the people, including you, who have made it possible. My partners asked me to take the pen for this endeavor, and I was happy to do so. You will recall that the firm was formed in 2009 by six lawyers and friends who were longtime colleagues and had achieved great successes for a wide range of clients in the courtroom and in settlements. The six of us were eager to practice in a smaller firm, and we aimed to become, in fact and by reputation, one of the state’s great trial boutiques. At the same time, embarking on this venture meant leaving a firm and friends whom we admire and respect. With permission from our former partners, we invited a longtime and valued paralegal to join us on this venture—Natalie Fleming. Natalie agreed, and we were off and running. To this day we are thankful for the outsized and generous support of our clients and friends in those early days of the firm. Your engagements, referrals, and kind words gave us immediate momentum and provided our young firm with a solid financial foundation. That gave us the luxury of focusing from day one on what we love to do: representing our clients and trying cases. Almost immediately, we enjoyed success in a series of trials and arbitration hearings, including a big win for a construction company in a dispute with the Port of Houston (a case tried by Brandon Allen alongside Robin Gibbs and our other friends and former partners). Jean Frizzell was the lead counsel in three further successes in 2010, including a verdict and judgment for fraud in federal court, an arbitration award in a case tried in Corpus Christi, and a verdict in state court in connection with a failed real-estate investment. Within the first year our efforts had resulted in more than $100 million in judgments and awards in a variety of fora. Many of the key people at the firm today joined in the early years. During our first year, we added a brilliant associate, Nathan Smith, who today is a hard-working partner and a core part of many case teams. We built out our staff, including numerous staff members who remain with us to this day. In 2011 we added Chris Hogan (likewise now a partner, with a thriving practice) to the ranks of our associates. In 2012, we added two more outstanding attorneys to the fold who now are partners. Solace Southwick, an experienced trial lawyer with substantial appellate expertise, has played an integral role in a large share of our cases since joining the firm. We also continued to enjoy the trust of clients. Mike Oldham and Jeremy Doyle successfully defended Exxon in a jury trial in Harris County in 2011, and in 2012 the firm successfully resolved a large contingent-fee case of Jean Frizzell’s after obtaining a favorable summary judgment ruling. That same year, Mike Oldham and I teamed up to achieve a multi-million-dollar award in a hotly contested arbitration in Arkansas. In 2013 a group of longtime residents who lived near the proposed Ashby High-Rise (many of whom are well-known lawyers) trusted a team led by Jean Frizzell and Jeremy Doyle to try a nuisance case against the developer. The jury found that the project, if built, would constitute a nuisance. As of this writing the high-rise has not broken ground. The firm saw some major changes in its fifth year. John Black, a partner with outsized trial skills, chose to leave the firm to partner with another of his longtime friends and pursue first-party insurance claims on behalf of homeowners. We miss having our friend John here but are proud of his continued success. Rather than continue to add new partners to an already unwieldy firm name (you may remember our poor receptionist trying to take a breath deep enough to greet callers to “Reynolds Frizzell Black Doyle Allen and Oldham”), we decided to shorten the firm name to Reynolds Frizzell LLP. Last but not least, 2014 was the year in which Jean Frizzell was elected as a Fellow in the American College of Trial Lawyers, becoming our second partner in the College. 2015 was also eventful. Jean Frizzell and Brandon Allen teamed up to defend Energy Transfer against several hundred million dollars in damages claims asserted by Enterprise Products. The jury awarded damages amounting to less than ½ of 1% of the amount claimed. We added yet another talented and experienced lawyer—Lindsey Raspino—to our team. In October, we learned that Benchmark had ranked our firm as one of the top ten litigation boutiques in the United States. We considered this high praise for a firm only six years old! 2015 also was a time of loss. Natalie Fleming was diagnosed with a terminal form of brain cancer, forcing her to take leave from the firm. Natalie was an integral part of the firm from its earliest days and a cherished friend to all of us. Her subsequent passing left us with sadness but also gratitude and wonderful memories. In 2016, we launched a new firm website and added Jim Weiss (a young lawyer who had clerked for Judge Sam Sparks) to our team. In September, we celebrated our 7th anniversary in our newly built-out space by hosting a party that was well attended by judges, clients and peers. The presence at that celebration of so many of you made the milestone all the more treasured. 2016 was one of the firm’s best years in terms of results as well, though much of the good news came in connection with confidential settlements or behind-the-scenes representations. Reynolds Frizzell Wins Summary Judgment for Wood Group Mustang Inc.
Reynolds Frizzell Attorneys Brandon Allen, Jeremy Doyle and Jennifer Josephson secured a summary judgment win for worldwide engineering contractor, Wood Group Mustang Inc. In a dispute with Freeport LNG, the owner of a liquefied natural gas facility, Wood Group filed suit to collect on approximately $4 million in unpaid bills. Freeport LNG counterclaimed, asserting approximately $18 million in damages related to horizontal directional drilling work. Wood Group filed a motion for summary judgment at the case’s outset on the vast majority of Freeport LNG’s alleged counterclaim damages. The Court granted Wood Group’s motion on September 17, 2018. Thereafter, Freeport LNG paid Wood Group’s outstanding bills. The remainder of the case settled in a confidential settlement agreement on November 18, 2018.

Reynolds Frizzell Wins Major Summary Judgment for Carrizo Oil & Gas
Nate Smith, Chris Hogan, and Harris Wells secured a significant summary judgment win for one of Reynolds Frizzell’s important oil and gas clients, Carrizo Oil & Gas. Facing a lawsuit from a seismic data provider, Carrizo was sued for breach of contract and fraud based on wells they had drilled in the Eagle Ford Shale. Centered on the fraud claim, the plaintiff requested a seven-figure bonus payment plus punitive damages. Reynolds Frizzell filed an early summary judgment based on limitations and the economic loss rule. The court ruled in Carrizo’s favor and dismissed the entire case.
Reynolds Frizzell Secures Crucial Summary Judgment for Major Real Estate Client
Jean Frizzell, Harris Wells, Jennifer Josephson, and Jim Weiss secured a crucial summary judgment win for one of Reynolds Frizzell’s major real estate clients. The firm represented several affiliated entities in a dispute over a tenant-in-common investment in a hotel property. The firm’s clients had been sued for fraud, and the plaintiffs were seeking to enforce an earlier, seven-figure arbitration award against each of our clients on the basis of “alter ego.” One week before trial, the court heard oral argument on the firm’s motion for summary judgment (plaintiffs had delayed the hearing by seeking a continuance to secure additional discovery). The same day as the hearing, the court granted the motion, which dismissed all of plaintiffs’ remaining claims and dismissed the case.

The settlement resolves a 2014 civil rights lawsuit brought by inmates at the Wallace Pack Unit in Navasota, Texas over their right to be safe from potentially lethal indoor heat in the summertime. Reynolds Frizzell Files Suit on Behalf of BHP Billiton for Unpaid Royalties
By Michelle Casady Law360, Houston (May 9, 2017, 5:28 PM EDT) -- BHP Billiton Petroleum LLC has filed a lawsuit in state district court in Houston alleging that Exco Operating Company LP owes it millions of dollars in royalties and other payments related to revenue from drilling operations in Louisiana that Exco originally said it was holding in suspense but now refuses to hand over. BHP told the court in a suit filed on Friday that it sent demand letters for payment in August 2015, and Exco said it would deposit the funds in the registry of the court while a lawsuit between BHP and another company, Devon Energy Production Co., over ownership of the wells was resolved. But that litigation has been settled, BHP told the court, and Exco has failed to make the payments. The funds held in suspense, BHP explained in the petition, were from both leased property and property not subject to a lease under Louisiana law, in which BHP was an “unleased mineral interest owner.” View Full Article on Law360

Reynolds Frizzell LLP successfully obtained the dismissal of a lawsuit involving a partnership dispute against its client, a resident of Puerto Rico. The two Plaintiffs, Raiden Commodities, LP, and Aspire Commodities, LP, had asserted claims for conversion and misappropriation of trade secrets. The Plaintiffs also sought a declaratory judgment regarding the relationship between them and the defendant. Attorneys Chris Reynolds and Cory Liu filed a special appearance in the case, Raiden Commodities, LP vs. Patrick de Man, before Judge Kyle Carter of the 125th District Court in Harris County. At the conclusion of oral argument on February 17, 2017, Judge Carter granted their client’s special appearance and dismissed all claims against him for lack of personal jurisdiction.

General Dynamics Wants Metal Co. Fraud Suits Merged
Law360, Los Angeles (September 18, 2015, 10:12 PM ET) -- General Dynamics Land Systems Inc. urged a Texas federal judge on Thursday to consolidate twin fraud suits brought by a bankrupt metal fabrication shop accusing the defense contractor of not paying for $3.7 million worth of parts, saying the other suit could endanger its pending bid to compel arbitration. GDLS said it filed the emergency motion because it is concerned that Elite Precision Fabricators Inc. will argue in a parallel adversary proceeding in Texas bankruptcy court that GDLS has lost its rights to compel arbitration “simply by the virtue of the passage of time” and told U.S. District Judge Sim Lake that Elite was attempting to begin discovery, flouting the parties’ arbitration agreement. “As a result of Elite’s attempts to force discovery, GDLS has been placed in the position of being compelled to choose between standing on its rights to arbitration and consolidation of these two identical lawsuits in one forum or participating in the second-filed lawsuit without objection, and facing Elite’s arguments that it has waived its rights,” the company wrote in a four-page motion. But Elite shot back on Friday, saying GDLS’ actions “reek of forum shopping in a desperate attempt to avoid the bankruptcy court determining its motions to dismiss and abate in lieu of arbitration.” The filings are the latest in a case first brought in July 2014 accusing GDLS of fraud and breach of contract in connection with a work stoppage agreement that the Montgomery, Texas-based company says cost it $3.7 million and forced it into bankruptcy. Elite Precision Fabricators Inc. has been trying to keep the case out of arbitration, blasting the validity of an arbitration agreement between the companies by arguing its existence was not obvious in GDLS’s first purchase order in June 2011. GDLS argued earlier this month that the contract to build armored personnel carriers for the Israeli military contained an “explicit” arbitration agreement included in terms and conditions on its website to which sellers are directed. “Elite, a commercial party, agreed to be bound by the purchase terms and conditions by transacting with GDLS,” it said in a Sept. 11 filing. “The purchase terms and conditions, referred to herein along with the purchase orders as the ‘APC contract,’ have not varied substantially since June 2011 and at all times have contained an arbitration clause.” GDLS blasted Elite’s contention that the lawsuit is secondary to the adversary proceeding, as the suit was filed first, and that General Dynamics has sought to delay the litigation, arguing instead that it has sought speedy proceedings. On top of the dismissal bid, GDLS has sought to combine the two cases in Article III proceedings. “The adversary proceeding and this lawsuit are not, as Elite represents, two entirely distinct pieces of litigation. As GDLS noted in the consolidation motion, these two lawsuits: (a) are based upon nearly identical facts; (b) will involve common discovery issues and legal issues … and (c) seek recovery of the same damages,” GDLS said. In its initial complaint, Elite alleged its costs for manufacturing the parts it was obligated to contribute to the armored vehicles quickly exceeded its expectations. After realizing that it could not continue with the project, claiming financial burden resulting from borrowing millions to finance the project, Elite negotiated a work stoppage agreement with General Dynamics in 2012 to end its involvement with the project, according to court documents. The agreement provided for payment of all finished product, work in progress and third-party purchases of materials, Elite claimed in its suit, product for which it said it was never paid. Reynolds Frizzell Pursues Attorney Who Stole From His Own Client
Law360, Dallas (September 2, 2015, 7:51 PM ET) -- A former client sued a Houston attorney in state court Wednesday, claiming the lawyer stole its money and faked a real estate transaction to pocket a purported loan, and that when confronted, promised restitution that hasn’t come. In a Harris County District Court suit, Texicali Ltd., a family partnership, accuses James C. Mulder of Mulder Law Group PC of fraud, theft, misapplication of fiduciary property and forgery, by bilking them out of $300,000 the family intended to invest in legitimate ventures. The partnership says Mulder admitted he had taken money from a client trust account when his law firm suffered financial setbacks, but that the attorney hasn’t lived up to his promises he would return the money and that he concealed the faked real estate deal. “Mulder’s crimes are now catching up to him,” Texicali said in the suit. “He has been caught red-handed ... but Mulder apparently still hopes (against hope) that he will get away with it.” Mulder did not immediately respond to request for comment on the suit Wednesday. General Dynamics Lays Into $3.7M Israeli Tank Contract Suit
Law360, New York (August 13, 2015, 5:08 PM ET) -- General Dynamics Land Systems Inc. on Wednesday slammed a bankrupt metal fabrication shop’s $3.7 million fraud suit lodged in Texas federal court over an alleged breach of the pair’s contract to build tanks for the Israeli government, saying the contract in question clearly dictates arbitration. General Dynamics asked the federal court to dismiss Elite Precision Fabricators Inc.’s fraud and fraudulent inducement claims and compel it to arbitrate its allegation that the contractor failed to uphold an agreement in which the two companies agreed to a work stoppage after initially joining forces to fulfill General Dynamics’ contract with the Israeli government to construct combat vehicles. “Elite fails to allege … that GDLS made any material false representations, much less that it made such representations knowing that they were false or intending that Elite would rely upon them,” the motion to dismiss said. “Rather, Elite simply alleges that GDLS promised to perform and subsequently failed to do so — a breach of contract claim.” Additionally, the parties agreed to arbitrate any disputes over their contract and, as a result, the disagreement does not belong in federal court, General Dynamics said. In its 2014 lawsuit, Elite alleged its costs for manufacturing the parts it was obligated to contribute to the tanks quickly exceeded its expectations. After several months of negotiation and reaching an impasse, we ultimately filed suit in Dallas County, Texas on September 28, 2014, for breach of contract and fraud. Within one week, MediGain settled the matter with our clients for several million dollars – significantly more than our clients had offered in writing to settle the dispute for before retaining us. Reynolds Frizzell Wins Summary Judgment in Oil & Gas Title Dispute
The District Court of Nacogdoches County, Texas granted partial summary judgment in favor of our clients, BHP Billiton Petroleum (Americas), Inc. and Petrohawk Properties, L.P., dismissing claims asserted by a plaintiff who claimed that he was the rightful owner of certain mineral rights in a producing oil & gas field. The plaintiff claimed that a prior conveyance of the property in our clients' chain of title was invalid, based on an interpretation of certain language in the will of a previous owner of the property, and therefore the plaintiff, not our clients, was the rightful owner of the mineral interests. Opposition Mounts to Houston High-Rises
So far, though, there are no plans to introduce zoning. Mayor Annise Parker "believes that it is way too late for zoning in Houston," said Janice Evans, her spokeswoman. Developers in Houston are concerned that building in the nation's fourth-largest city may soon become more difficult, after a judge ruled that neighbors are entitled to a total of $1.2 million for enduring the inconvenience of high-rise apartments planned next to their homes.

The judge in the Ashby high-rise case on April 21 pledged a swift ruling, but acknowledged he faces a dilemma in making a decision that could have implications for development in Houston. Reynolds Frizzell Sues on Behalf of Wapiti for Costs, Taxes in $375M Oil Field Sale
Law360, Houston (October 29, 2013, 7:14 PM ET) -- An affiliate of Wapiti Energy LLC filed suit Monday in Texas state court, saying it is at odds with Layline Petroleum LLC over the allocation of overhead costs, expenses and taxes tied to a $375 million acquisition of oil and gas properties. Houston-based Wapiti Energy Opco LLC says Layline is refusing to pay its share of costs mandated by the companies’ purchase agreement while demanding that Wapiti reimburse it a “significant amount” for operating and capital expenses related to oil fields Layline sold to it last April. The dispute revolves around a $375 million deal with Layline that gave Wapiti producing properties in Texas, Louisiana and North Dakota containing proven reserves of 23.2 million barrels of oil.
